Adishree Mishra has over 6 years of experience in the General Corporate, Mergers & Acquisitions, Private Equity and Employment sector which includes advising Government of India, multi-national companies, public sector undertakings, banks and financial institutions, investors, non-banking financial institutions, real estate developers, healthcare companies, alternative investment funds. She has extensively handled transactions involving high stake mergers and acquisition, private equity investments, strategic investments, financing and general corporate work. Adishree has worked in India’s leading and largest law firm, Cyril Amarchand Mangaldas. Currently, she has started her own independent practice.
She has extensive experience in drafting, reviewing and negotiating transaction documents including term sheets, confidentiality agreements, share purchase and subscription agreements, shareholders’ agreements, joint venture agreements, facility agreements, escrow agreements, security trustee agreements, contribution agreements, investment management agreements, license agreements, employment agreements, memorandums, opinions, legal notices and other complex commercial contracts. She has conducted several high-profile due diligences across sectors including airline, healthcare, technology, solar power, wind power, housing finance, logistics, broking and securities, real estate, hotel business, hospitals, IT/ITES, financial services (including non-banking financial companies).
Her practice includes, inter alia, evaluating legal/ regulatory risks and suggesting risk mitigants prior to investments, identifying transaction specific legal/ regulatory issues (both from structuring and implementation perspective) under applicable company law, foreign exchange control laws, contract law, guidelines on external commercial borrowings, laws on alternative investment funds etc. and advising on practical solutions to address these legal/ regulatory issues in relation to various corporate and commercial matters.
Additionally, she has also represented a wide spectrum of clients before various courts and tribunals including High Courts wherein, she was involved in matters ranging from oppression & mismanagement, shareholder disputes, insolvency and bankruptcy, defamation, intellectual property rights infringement, arbitrations, etc.
